Terms of Service

Thank you for selecting Scanners Tally Ltd. These Terms of Service ("Terms") govern your access to and use of the Scanners Tally website and related services (collectively, the "Service"). By accessing or using the Service you agree to be bound by these Terms.

1. Eligibility

You represent that you are at least the age of majority in your jurisdiction and have the authority to enter into these Terms.

2. Account & Access

Use of core application features requires an account in the Scanners Tally app. You are responsible for safeguarding your credentials and all activity under your account.

3. Acceptable Use

No unlawful, infringing, or abusive activity.
No attempt to breach, probe, or circumvent security or authentication controls.
No misuse of bandwidth, rates, or platform resources.
You must collect, input, and process any personal or third-party data within the Service only in accordance with all applicable data governance, data protection, and privacy laws in your jurisdiction.

4. Subscription & Billing

Paid features are billed in advance per your selected plan. Taxes may apply depending on jurisdiction. Failure to pay may result in suspension or termination.

5. Cancellations & Refunds

You may cancel at any time; access continues until the end of the current billing period. Except where required by law, fees are non-refundable. Purchases made through the Apple App Store or Google Play are subject to those stores' billing, cancellation, and refund policies (see Sections 17 and 18).

6. Data & Privacy

Our handling of personal and scanning data is described in the Privacy Policy.

You are responsible for any personal or third-party data you collect, input, or process using the Service. You represent and warrant that you have all necessary rights, consents, and lawful bases to do so, and that your collection, input, and processing of such data complies with all applicable data governance, data protection, and privacy laws in your jurisdiction. Where required, you are responsible for obtaining consent from, and providing any required notices to, the individuals whose data you input.

7. Intellectual Property

All trademarks, branding, code, data, and content are owned or licensed by Scanners Tally Ltd and protected by applicable laws.

8. Availability & Changes

We strive for high availability but do not guarantee uninterrupted service to any and all Services. Features may change, evolve, or be deprecated with reasonable notice when practicable.

9. Disclaimers

The Service is provided "as is" without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement. Operational, agronomic, or herd management outcomes are not guaranteed.

10. Limitation of Liability

To the fullest extent permitted by law, Scanners Tally Ltd shall not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill arising out of or relating to your access to or use of, or inability to access or use, the website, application, or any online services or any materials or content on the website, application, or online services, whether based on tort, warranty, contract, statute, or any other legal theory, whether or not Scanners Tally Ltd has been informed of such damage. Aggregate liability shall not exceed fees paid in the 12 months preceding the claim. Scanners Tally Ltd engages third-party storage providers to manage, maintain, back up, access, and delete data. In no event will Scanners Tally Ltd be liable for any direct, indirect, incidental, special, consequential or punitive damages as a result of engaging with these 3rd parties.

11. Indemnity

You agree to indemnify and hold harmless Scanners Tally Ltd and its officers, directors, and employees from claims arising from your misuse of the Service or violation of these Terms.

12. Termination

We reserve the right to suspend or terminate access for any violation of these Terms or for actions that risk harm to Scanners Tally Ltd, the platform, or other users. We may add or remove, suspend, stop, delete, discontinue, or impose conditions on the Service or any feature or aspect of the Service. We will take reasonable steps to inform you of any action via e-mail or when you next log on to the Service. You may terminate by ceasing use and (if applicable) cancelling your subscription.

13. Effect of Termination

In the event these general Terms or your account is terminated or suspended for any reason:

Any licensing or rights granted under these Terms will end.
You agree to immediately terminate and cease use of all Services.
We may, but have no obligation to, delete your information and account data stored on our servers.
You will remain liable for all amounts due up to and including the date of termination.
We will not be liable to you or any third party for compensation, reimbursement, or damages for any termination or suspension of the Services, or for deletion of your information or account data.

14. Third Party Services and Links to Other Websites

The service may contain links to third-party websites. The inclusion of any link to third-party controlled websites or domains does not imply approval, endorsement or recommendation by Scanners Tally Ltd. Third-party websites are not governed by these Terms. You access any third-party websites or domains at your own risk. We expressly disclaim any liability from these websites or domains.

15. Governing Law

These Terms are governed by the laws of New Zealand, without regard to conflict of law principles. Venue for disputes shall lie exclusively in competent courts located there, unless mandatory local law provides otherwise.

16. Changes to Terms

We may update these Terms periodically. Material changes will be communicated (e.g., via the site or email). Continued use after the effective date constitutes acceptance.

17. Apple App Store and iOS Devices

The following additional terms apply if you obtained the Scanners Tally application (the "Application") from the Apple App Store or use it on an Apple-branded device. In the event of any conflict between these Terms and the terms in this section, the terms in this section govern with respect to your use of the Application on Apple devices.

Acknowledgement. These Terms are concluded between you and Scanners Tally Ltd only, and not with Apple Inc. ("Apple"). Scanners Tally Ltd, not Apple, is solely responsible for the Application and its content. Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the Application.
Scope of Licence. The licence granted to you for the Application is a non-transferable licence to use the Application on any Apple-branded products that you own or control, and only as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.
Maintenance and Support. Scanners Tally Ltd is solely responsible for providing any maintenance and support services for the Application, as specified in these Terms or as required under applicable law. Apple has no obligation to furnish any maintenance and support services.
Warranty. Scanners Tally Ltd is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the Application to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Application, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be the sole responsibility of Scanners Tally Ltd.
Product Claims. Scanners Tally Ltd, not Apple, is responsible for addressing any claims by you or any third party relating to the Application or your possession and/or use of the Application, including but not limited to: (i) product liability claims; (ii) any claim that the Application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.
Intellectual Property Rights. In the event of any third-party claim that the Application or your possession and use of the Application infringes that third party's intellectual property rights, Scanners Tally Ltd, not Apple, will be solely responsible for the investigation, defence, settlement, and discharge of any such claim.
Legal Compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
Third Party Terms. You must comply with applicable third-party terms of agreement when using the Application.
Third Party Beneficiary. You acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
Developer Contact. Any questions, complaints, or claims with respect to the Application should be directed to Scanners Tally Ltd via the contact form.

18. Google Play Store and Android Devices

The following additional terms apply if you obtained the Scanners Tally application (the "Application") from the Google Play Store or use it on an Android device. In the event of any conflict between these Terms and the terms in this section, the terms in this section govern with respect to your use of the Application obtained through Google Play.

Acknowledgement. These Terms are concluded between you and Scanners Tally Ltd only, and not with Google LLC ("Google"). Scanners Tally Ltd, not Google, is solely responsible for the Application and its content. Google is not a party to these Terms and is not responsible for the Application.
Scope of Licence. Your licence to use the Application is non-transferable and limited to use on Android devices that you own or control, subject to the Google Play Terms of Service and the applicable Usage Rules. Your acquisition and use of the Application is also governed by the Google Play Terms of Service and the Google Play Developer Distribution Agreement as applicable.
Maintenance and Support. Scanners Tally Ltd is solely responsible for providing any maintenance and support services for the Application. Google has no obligation whatsoever to furnish any maintenance or support services with respect to the Application.
Billing and Refunds. Where the Application or in-app products are sold through Google Play, payments are processed by Google and are subject to the Google Play payment, refund, and cancellation policies, which may differ from Section 5 above. Nothing in these Terms limits any refund rights you have under those policies or under applicable law.
Warranty and Claims. Scanners Tally Ltd, not Google, is responsible for any product warranties and for addressing any claims by you or any third party relating to the Application or your possession and use of it, including product liability, regulatory compliance, consumer protection, privacy, and intellectual property infringement claims.
Legal Compliance. You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties. You agree to comply with all applicable export control and sanctions laws.
Third Party Terms. You must comply with applicable third-party terms of agreement, including the Google Play Terms of Service, when using the Application.
